FlexiStarter Business Terms

Important

These Business Terms form a contract between FLEXIWORK LTD and the business or organisation that creates or uses a FlexiStarter employer account. FlexiStarter provides workflow, document and onboarding tools. It does not provide legal advice and does not guarantee legal or regulatory compliance.

1. Who we are and when these Terms apply

FlexiStarter is a software service provided by FLEXIWORK LTD (“FlexiWork”, “we”, “us” or “our”), a company registered in England and Wales under company number 17116161, with registered office at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ.

These Terms apply when a business, employer, organisation or authorised representative (“Customer”, “you” or “your”) creates an employer account, uses FlexiStarter, purchases a plan, starts a trial or otherwise agrees to these Terms. The individual creating the account confirms that they are at least 18 and authorised to bind the Customer.

2. The Service

FlexiStarter helps employers manage the journey from offer to readiness for day one. Depending on the features enabled, this may include offers, employment documents, contract personalisation, electronic signing, policies and handbook acknowledgements, right-to-work and other evidence, references, onboarding questions, first-day preparation, internal readiness tasks, reminders and status tracking.

Features may change as the Service develops. We may improve, replace or discontinue non-material features, provided we do not materially reduce the core functionality of a paid plan during its current paid term without a reasonable alternative or appropriate remedy.

3. Your responsibilities

You remain responsible for your employment and onboarding decisions and for the legal accuracy and appropriateness of the content you use through FlexiStarter. In particular, you are responsible for:

  • deciding what information, documents, checks and onboarding steps are lawful and appropriate for each role and location;
  • ensuring your contracts, policies, notices, forms, pay terms and employment practices comply with applicable law;
  • having a lawful basis and, where required, an additional condition for processing special category data or criminal offence data;
  • providing candidates and workers with any employer privacy information and workplace notices that you are legally required to provide;
  • checking the accuracy of information generated, merged, extracted or suggested by the Service before relying on it;
  • keeping account permissions, administrator access and login credentials secure; and
  • using the Service only for legitimate business onboarding and employment purposes.

4. Guidance, jurisdiction features and no legal advice

FlexiStarter may provide checklists, jurisdiction-aware workflows, explanations, reminders, templates, suggested steps or configuration options. These are software features intended to help organise onboarding. They are not legal, tax, immigration, payroll or professional advice.

Laws and official guidance change. You must make your own decisions and obtain professional advice where appropriate. We do not warrant that use of FlexiStarter will make you compliant with every law, collective agreement, sector rule, licence condition or local requirement that may apply to you.

5. Accounts, users and permissions

You may allow authorised staff to access your Customer workspace. You are responsible for choosing appropriate permissions and for activity carried out through accounts you control, except to the extent caused by our breach of these Terms or failure to apply agreed access controls. You must promptly remove access for people who no longer require it.

Sensitive candidate or worker information may be subject to additional permissions. You must only give access to people who have a legitimate need to see it.

6. Customer Content

“Customer Content” means information, documents, templates, communications, branding, candidate or worker data and other material submitted to or generated through the Service on your behalf.

You retain ownership of Customer Content. You give us a non-exclusive licence to host, copy, process, transmit, format and otherwise use Customer Content only as necessary to provide, secure, support and improve the Service in accordance with these Terms, the Data Processing Addendum and applicable law.

You confirm that you have the rights and lawful authority needed to provide Customer Content to us and instruct us to process it.

7. Electronic documents and signatures

FlexiStarter may facilitate electronic signatures, acknowledgements and countersigning. You are responsible for deciding whether electronic execution is appropriate for the document in question and whether any additional formalities, such as witnessing or a particular signature method, apply. FlexiStarter does not represent that every document can be validly executed using every electronic signing method.

Where a document is completed through the Service, the Service may retain an audit record such as the document version, signatory identity or email, timestamp, signature data and related technical evidence.

8. Plans, fees and payment

Some features may be free, trial-based or paid. Paid plan prices, billing frequency, usage limits and any included allowances will be shown at checkout, in an order form or in your account before you commit to payment.

Unless stated otherwise, subscription fees are payable in advance and renew automatically for the selected billing period until cancelled. You may cancel future renewal through the available account or billing controls. Cancellation does not normally create a refund for a period already paid for, except where required by law or expressly stated otherwise.

We may change prices for a future renewal period by giving reasonable notice. Taxes are additional where applicable. If payment processing is enabled, payment details may be handled by a third-party payment provider rather than stored by FlexiWork.

9. Trials, beta and practice features

We may offer trials, free tiers, preview features, practice onboarding or beta functionality. These may have limits and may change or end. Practice or sandbox journeys are not intended for real candidate data unless the Service clearly states otherwise.

10. Availability, support and changes

We aim to keep the Service available and reliable but do not promise uninterrupted or error-free operation. Maintenance, provider outages, security events and circumstances outside our reasonable control may affect availability. Unless we expressly agree a separate service level agreement, no guaranteed uptime applies.

Support may be provided through the contact methods made available in the Service or on our website.

11. Data protection

For Customer Content containing personal data that we process on your behalf, the Customer is generally the controller and FLEXIWORK LTD is the processor. The Data Processing Addendum in this package is incorporated into these Terms.

For our own business administration, account security, service analytics, billing, legal compliance and direct relationship with business users, we may act as a controller as described in the Business User Privacy Notice.

12. Confidentiality

Each party must keep the other party’s confidential information confidential and use it only for the purposes of the relationship. This does not apply to information that is public through no breach, already lawfully known, independently developed, lawfully received from another source, or required to be disclosed by law. Where lawful, the receiving party should give advance notice of a compelled disclosure.

13. Security

We will maintain technical and organisational measures appropriate to the risk of processing performed through the Service. You are responsible for using available security controls, protecting credentials, maintaining suitable devices and networks, and promptly telling us if you suspect unauthorised access to your account.

14. Acceptable use

You must comply with the FlexiStarter Acceptable Use Policy. We may restrict or suspend access where reasonably necessary to protect the Service, users, data, third parties or our legal obligations, including where we reasonably suspect serious misuse or a security threat.

15. Intellectual property

We and our licensors own the Service, software, product design, documentation, branding and other materials we provide, excluding Customer Content. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes during your subscription or permitted access period.

Feedback and suggestions you voluntarily provide may be used by us without restriction or payment, provided we do not identify you publicly without permission.

16. Third-party services

The Service relies on third-party infrastructure and may integrate with third-party products. Their availability and independent terms may affect some features. We are not responsible for third-party products you independently choose to use, but we remain responsible for our obligations where a provider acts as our sub-processor.

17. Suspension and termination

You may stop using the Service at any time and may cancel a paid subscription in accordance with the applicable billing terms. We may suspend or terminate access if you materially breach these Terms, fail to pay undisputed fees when due, create a material security or legal risk, or use the Service unlawfully. Where reasonably practicable, we will give notice and an opportunity to remedy a remediable breach.

On termination, your right to use the Service ends. Customer Content will be handled in accordance with the Data Processing Addendum and applicable retention obligations.

18. Warranties and disclaimers

We will provide the Service with reasonable care and skill. Except as expressly stated in these Terms and to the maximum extent permitted by law, the Service is provided without additional warranties, including any warranty that a particular workflow, document, template, rule or result is legally sufficient for your circumstances.

19. Liability

Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited, including liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or other liability that applicable law does not permit us to exclude.

Subject to the paragraph above, neither party is liable to the other for indirect or consequential loss, or for loss of profit, revenue, anticipated savings, goodwill or business opportunity, except to the extent such loss forms part of a third-party claim covered by an express indemnity.

Subject to the paragraphs above, FLEXIWORK LTD’s aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the fees paid or payable by the Customer for FlexiStarter in the 12 months preceding the event giving rise to liability, or (b) £1,000 where no fees were paid during that period.

20. Changes to these Terms

We may update these Terms to reflect legal, security, operational or product changes. If a change materially affects existing paid Customers, we will provide reasonable notice before it takes effect where practicable. Continued use after the effective date of an updated version constitutes acceptance where permitted by law; where fresh acceptance is required, we will ask for it.

21. General

Neither party may assign these Terms without the other party’s consent, except that we may assign them as part of a corporate reorganisation, merger, acquisition or sale of substantially all relevant business or assets. A delay in enforcing a right is not a waiver. If a provision is unenforceable, the remaining provisions continue in force. These Terms, together with documents expressly incorporated into them, form the entire agreement concerning the Service unless a separate signed order form states otherwise.

22. Governing law and disputes

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, unless the parties expressly agree otherwise in writing.
